You must read, agree with and accept all of the policies below (the "Rules") before you may participate in the Google Qualified Developer program. "You" or "you" means the party listed on the account you are currently logged into and you represent you have the authority to agree to these Rules for that party. By clicking "I accept" below, you accept and acknowledge the following:
1.1 Google and Open source API Use. Your use of the Google and Open source APIs are still governed by the each respective Terms of Service located at http://code.google.com/apis/ (the "Terms and Conditions"), which you have already entered into with Google. Your Terms and Conditions and any other written agreements with Google will take precedence over these Rules if the Rules conflict with the Terms and Conditions or such other written agreements.
2.1 Becoming a Google Qualified Developer. To become a Google Qualified Developer, you must agree to the Terms and Conditions, these Rules, and any other applicable terms that Google determines in its sole discretion may apply to you. This is an exclusive program. To become a Google Qualified Developer, you must fill out and submit the application form at http://code.google.com/qualify/register.html and take one of the API Exams. Then Google, in its sole and final discretion, will assess your skills and determine whether you are accepted into the Google Qualified Developer program.
2.2 Being a Google Qualified Developer. The Google Qualified Developer title and these Rules do not empower either you or Google to obligate, bind or act as agent for the other in any way and do not create a joint venture, employment relationship, partnership, or other business entity of any kind. You: (i) are responsible for your acts and omissions; (ii) must not violate any Google policies, Google terms and conditions, applicable laws or regulations; (iii) must not practice any deceptive, illegal, unethical, false or misleading practices with regard to your application and participation in the Google Qualified Developer program; and (iv) must obtain all consents, authorizations and permits required for you to perform under and related to these Rules, including without limitation to act on behalf of and bind to these Rules. Nothing in these Rules grants any implied rights to you. Google retains all of its rights, title and interest in and to all of its intellectual property.
In order to be a Google Qualified Developer, you shall provide information about yourself (such as identification or contact details) as part of the application and examination process, or as part of your continued membership in the Google Qualified Developer Program. You agree that any information you give to Google will always be accurate, correct and up to date. You agree that your name and contact information can be listed and made publicly available in the Solutions Marketplace so that others may contact you regarding your applications using that information. Google may also use this information when featuring your applications in our galleries or for other uses. You agree that any applications that you create will comply with the Terms and Conditions of the APIs on which they are based, and can be made publicly available in any application galleries. You acknowledge that Google has no obligation to include your name and contact information in the Solutions Marketplace, or to include your applications in any application galleries.
2.3 Performing as a Google Qualified Developer. You must perform under these Rules and the Terms and Conditions. To the extent any other features, programs, materials or tools (e.g. APIs, marketing collateral, testing programs or logos) are supplied by Google and you choose to use them, you must use them only consistent with these Rules and any additional terms supplied by Google for those features. You acknowledge that you are not employed, endorsed or approved by, or a contractor of, Google. You agree that you will not represent yourself as being employed, endorsed or approved by, or a contractor of, Google. PARTICIPATING IN THE GOOGLE QUALIFIED DEVELOPER PROGRAM IS A PRIVILEGE THAT MAY BE REVOKED BY GOOGLE AT ANY TIME FOR ANY OR NO REASON.
3.1 Google Qualified Developer Program. Subject to these Rules, if you are accepted as a member in the Google Qualified Developer program, you may identify yourself as a Google Qualified Developer on your website and in your marketing materials.
If you are accepted as a Google Qualified Developer, Google grants you, subject to these Rules, a non-exclusive, non-transferable, non-sublicenseable license to use the Google Qualified Developer Logo made available to you by Google solely on your website and in your marketing materials and solely according to the Google brand use guidelines posted at http://www.google.com/permissions/guidelines.html. You may not display the Google Qualified Developer Logo in connection with or near a search box.
You agree that you will not use the Google Qualified Developer title or the logo in such a way as to misleadingly represent that you are employed, endorsed or approved by, or a contractor of, Google.
3.2 All Brand Feature use. Except as expressly set forth above, neither these Rules nor the Google Qualified Developer program grant you any rights to Google Brand Features (defined below). Google may withdraw any license to the logo, the ability to identify yourself as a Google Qualified Developer or any other Google Brand Features, at any time for any or no reason. You may not alter Brand Features in any way at any time (for example, changing color or size) without Google's prior written permission. You may not display Brand Features on, or associate Brand Features with, any adult or illegal content. Goodwill in the Brand Features will inure only to Google's benefit and you obtain no rights with respect to any of them. You irrevocably assign and must assign to Google any right, title and interest that you obtain in any of Google's Brand Features. You must not at any time challenge or assist others to challenge Brand Features or their registration (except to the extent you can't give up that right by law) or attempt to register any trademarks, marks or trade names confusingly similar to Google's. "Brand Features" means the trade names, trademarks, service marks, logos, domain names and other distinctive brand features of Google, including without limitation "Google Qualified Developer," and the logo described above. This paragraph survives any termination or expiration of these Rules.
4.1 Google may cancel or modify these Rules or the Google Qualified Developer program at any time for any or no reason. Your participation in the Google Qualified Developer program is voluntary and signifies your agreement with these Rules, but you may stop using any or all of the features, materials or tools (e.g. APIs, marketing collateral, testing programs or logos) of the Google Qualified Developer program at any time. Termination or expiration of the Rules will not relieve you of other agreements entered into with Google (for example, the Terms and Conditions). Google reserves the right to immediately suspend or cancel your membership. If Google cancels these Rules or the Google Qualified Developer program expires or terminates, you must cease identifying yourself as a Google Qualified Developer and cease using any Brand Features.
5.1 GOOGLE, ITS SUBSIDARIES, AFFILIATES, AND LICENSORS MAKE NO, AND DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WITH RESPECT TO THESE RULES AND THE GOOGLE QUALIFIED Developer PROGRAM AND EXPRESSLY DISCLAIM THE WARRANTIES OR CONDITIONS OF NONINFRINGEMENT, MERCHANTABILITY AND FITNESS FOR ANY PARTICULAR PURPOSE. You represent and warrant that you have full power, capacity and authority to accept these Rules, and participate in the Google Qualified Developer Program. You represent and warrant that the work you develop will not (1) infringe any third party proprietary rights, intellectual property rights, industrial property rights, personal or moral rights or any other rights, including without limitation, copyright, trademark, patent, trade secret or confidentiality obligations; or (2) otherwise violate applicable U.S. law or the law of your country of residence. You shall indemnify, defend and hold Google, its partners, officers, directors, agents, affiliates, and licensors harmless from any third party claim or liability (including without limitation reasonable legal fees) arising out of: (i) your membership in the Google Qualified Developer Program; (ii) your use of Google Brand Features in a manner inconsistent with the Rules or Google's written instructions; and (iii) an alleged breach by you of these Rules or the Terms and Conditions.
