Introduction

This form of contributor licence agreement has been approved in correspondence with members of the OSS Watch team based in OUCS, for use with open source projects published by Oxford University.

The agreement

Individual Contributor License Agreement ("Agreement") V1.0 Thank you for your interest in Shuffl (the "Project"), a research project conducted by the University of Oxford (the "University”). In order to confirm the rights granted in connection with the Contribution (as defined below) , the University must receive a signed Agreement from each Contributor. This Agreement is for your protection as a Contributor as well as the protection of the University and the Project users; it does not prevent you from using your own Contributions for any other purpose. 1. Definitions "You" (or "Your") shall mean the person or legal entity that is making this Agreement with the University. "Contribution" shall mean any original work of authorship, including any modifications or additions to an existing work, that is submitted by You to the University for inclusion in, or documentation of, the Project. For the purposes of this definition, "submitted" means any form of electronic, verbal, or written communication sent to the University or its representatives, including but not limited to communication on electronic mailing lists, source code control systems, and issue tracking systems that are managed by, or on behalf of, the University for the purpose of discussing and improving the Project, but excluding communication that is conspicuously marked or otherwise designated in writing by You as "Not a Contribution."

“Work” shall mean software that is an output of the Project and which may include the Contribution and/or contributions made by third parties

2. Grant of Copyright Licence. Subject to the terms and conditions of this Agreement, You hereby grant to the University and to recipients of software distributed by the University or on its behalf as an output of the Project, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright licence to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and any such derivative works.

3. Grant of Patent Licence. Subject to the terms and conditions of this Agreement, You hereby grant to the University and to recipients of software distributed by the University or on its behalf as an output of the Project, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent licence to make, have made, use, offer to sell, sell, import, and otherwise transfer the Contribution, where such licence applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with the Work. If any entity institutes patent litigation against You or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that your Contribution, or the Work to which you have contributed, constitutes patent infringement, then any patent licences granted to that entity under this Agreement for that Contribution or Work shall terminate as of the date such litigation is filed. 4. You warrant that You are legally entitled to grant the above licences. If Your employer(s) has rights to intellectual property that you create that includes Your Contributions, You warrant that You have received permission to make Contributions on behalf of that employer, that your employer has waived its rights in Your Contributions or that your employer has executed a separate Corporate CLA with the University. 5. You warrant that each of Your Contributions is Your original creation (see section 7 for submissions on behalf of others). You represent that Your Contribution submissions include complete details of any third-party licence or other restriction (including, but not limited to, related patents and trademarks) associated with any part of Your Contributions.

6. You shall notify the University of any facts or circumstances of which you become aware that would or may make these warranties inaccurate in any respect. You shall indemnify the University and keep it fully and effectively indemnified against any and all loss, liability, damage or cost (including reasonable legal and other professional fees and amounts paid in settlement of any claim) suffered by the University as a result of a breach of the warranties given by You in this Agreement. 7. You are not expected to provide support for Your Contributions, except to the extent You desire to provide support. Unless separately agreed in writing by the University any support You choose to provide shall be provided free. 8. Should You wish to submit a Contribution that is not Your original creation, You may submit it to the University separately from any other Contribution, identifying the complete details of its source and of any licence or other restriction (including, but not limited to, related patents, trademarks, and licence agreements) of which you are personally aware, and conspicuously marking the work as "Submitted on behalf of a third-party: ".

9. In return for Your grant of a licence to use Your Contribution as set out in this Agreement the University agrees that licences issued by it in connection with the Project shall be open source licences.

10. This Agreement shall be governed by English law and the English Courts shall have non-exclusive jurisdiction to hear any disputes arising out of or in connection with it.
